Overview

Magnolia guides private equity clients and their portfolio companies on mergers and acquisitions transactions, equity investments, joint ventures, securities law, and the full range of general corporate matters.

Magnolia negotiates and structures purchases and sales of privately-held and public companies. She has advised on transactions in the retail, technology, manufacturing, mortgage lending, transportation, and other industries. And she has led a number of cross-border deals for companies based in Europe and Asia.

The former General Counsel to a London-based asset manager, Magnolia has a keen sense of the practical business needs and issues facing her clients. For three years she led transactions for the asset management firm and its clients – focusing on pre-IPO investments in, among other things, technology and Silicon Valley startups – and managed the legal affairs of the firm, which ran a private equity fund, a co-investment fund, and a fund of funds.

The in-house perspective Magnolia gained in that role combined with over a decade of experience in private practice shape her guidance to clients: she knows that legal problems are in fact business problems, and that every solution she proposes must be responsive to the needs of the client’s business.

Magnolia has lived and practiced outside the U.S. for much of her career, including five years in Paris working in cross-border M&A at the satellite office of a top 10 AmLaw firm and five years in Tokyo advising clients in cross-border private equity transactions at a Wall Street firm. She is fluent in French, and holds an LLM in European Business Law.
