Corporate Governance

As a natural extension of the extensive experience of the attorneys in the firm’s Corporate Group, we routinely attend the Board and committee meetings of many of the firm’s corporate clients to advise Board and committee members regarding their duties and responsibilities, as well as provide guidance with respect to process.

In addition, we are often engaged to counsel Boards and special committees on transactional matters, including Mergers & Acquisitions, going private transactions and special investigations; and with respect to the latter, the firm’s corporate attorneys will often work in close collaboration with the firm’s Litigation Group to examine potential violations of laws or regulations, and manage responses to outside third parties and enforcement actions from governmental authorities.

Our Corporate Governance practice is an essential part of the broad, full-service commercial offering of the firm, helping to guide decisions and ensure that Boards fulfil their fiduciary duties, particularly with respect to strategic transactions as well as day-to-day governance.
