Overview

David helps entrepreneurs and closely held and family-owned businesses run their companies effectively, efficiently, and above all successfully. He drafts and reviews contracts and agreements, advises on employment law issues, leads purchases and sales of businesses and business units, and prepares and negotiates shareholder, partnership and operating agreements.

For many of his clients, David has served as outside General Counsel for years, managing all of the company’s legal affairs. He combines an in-depth understanding of their unique business and strategic objectives, risks and challenges, industries and competitors to guide them through both day-to-day business operations and extraordinary events, including resolving disputes before they escalate into litigation.

With more than four decades of experience representing closely held and family-run companies, David excels at identifying and implementing solutions to settle disagreements that threaten the business. He effectively communicates the rights and responsibilities of majority and minority owners, develops plans of action that allow the parties to work through their differences, and manages family dynamics to protect the core interests of his clients.

David has particular strengths meeting the commercial real estate needs of his clients, from leasing or subleasing office or showroom space to purchasing and selling warehouses and office buildings and everything in between. Currently he’s renegotiating lease terms on behalf of a number of clients under financial pressures due to the COVID-19 pandemic and related business disruptions.

In addition to his work representing private businesses, David negotiates and drafts employment contracts and severance agreements for senior executives of public companies.

For many years, David has served on the Board of Directors of Temple Am Echad and is currently Chair of the temple’s Legal Affairs Committee.

  • Resolving a family dispute by working with a client to sell his equity interest in the family business in a complex multinational transaction
